Wilson Sonsini Advises Google in $100 Million Concurrent Private Placement in Amwell

On August 24, 2020, Google and American Well Corporation (Amwell), a leading telehealth company, announced that Google has agreed to purchase $100 million of Amwell’s newly created Class C common stock in a concurrent private placement, which is contingent on the closing of Amwell’s pending initial public offering and certain other closing conditions. Google and Amwell also announced their entry into a strategic partnership through which Amwell will be Google’s global telehealth solution platform partner and the Google Cloud Platform will be Amwell’s global cloud platform partner for telehealth visits.
